These general terms and conditions govern the web design and development services provided by Manuel Neunteufel, trading as Demongrafix, tax ID (NIE/NIF) X1922561Z, Casanova 55, 03710 Calpe (Alicante), Spain, email info@demongrafix.com (“Demongrafix”), to the person or company that requests them (“the client”).
These terms, together with the project proposal accepted by the client, form the contract between Demongrafix and the client. By accepting the proposal, the client confirms that they have read, understood and accepted these terms. If the proposal and these terms differ, the proposal prevails.
Demongrafix provides web design and development services, which may include graphic design, functional design, programming of the website and of the code that runs on the server and in the browser, in exchange for the agreed price and under these terms.
The client may contract graphic design only, functional design only, development only, or a combination. The scope is set out in the project proposal.
Each service is described in a project document (“the project”), which is sent to the client and must be approved before work begins. The project contains the information needed to describe the service.
The project is contracted as a set of stages, so all or some of the stages may be carried out in accordance with clause 2.10. Demongrafix is therefore not obliged to complete the entire project if not all stages are contracted.
To carry out the project, the client authorises Demongrafix to access the hosting and domain system (control panel and files) to perform development and maintenance tasks. If the hosting and domain are not contracted with Demongrafix, the client must provide the necessary access details.
The service is carried out in the stages described in the project. Each stage is paid in advance; Demongrafix starts a stage once payment has been confirmed. Some payment methods take several days to confirm, which may affect the estimated delivery time.
Stages are carried out in the order set in the project. The order may be changed by mutual agreement. If a change of order affects development, Demongrafix will inform the client, who decides whether to accept it. If the client accepts a change after being informed of its consequences, Demongrafix is not responsible for those consequences. Demongrafix may decline a change of order that would seriously affect the project.
When the objectives of a stage have been met, Demongrafix will notify the client by email or another means. If, within five (5) calendar days of that notification, the client has not requested clarification, changes or corrections, the stage is considered accepted. Any such request must be made in writing and explain the reasons. The client may not reject a stage that meets its objectives; Demongrafix may decline a request that is not justified. If the request is justified, the stage is not considered completed and the necessary changes are made.
Estimated delivery times are stated in the project. They may vary depending on the time taken to receive materials, information or payment from the client. The estimate starts once the relevant stage has been paid and the client has delivered all the material needed for it.
Once a stage has been accepted, any change to its content must be agreed by both parties and may be treated as an addition to the project under clause 2.9.
If graphic design is contracted, Demongrafix will present one or more designs after studying the client’s requirements. The client approves or rejects them. If a design is rejected, Demongrafix will make up to three (3) rounds of changes per design, provided that the requested changes are reasonable and in line with the initial requirements of the project. Further changes, or changes outside the initial requirements, are treated as an addition under clause 2.9.
Demongrafix tests the website during development and after launch to verify that it works correctly. If, during testing, the website does not meet the agreed requirements, the client will notify Demongrafix in writing and Demongrafix will correct the issues. Tests are then repeated and the client confirms in writing, within five (5) calendar days, whether they agree. Tests are repeated as often as necessary until the client agrees.
On completion of the project or the relevant stages, Demongrafix will provide the documentation needed to operate and use the website, where applicable.
From the moment the website, or the completed stages, are in real use, a warranty period of twelve (12) months applies. If errors in the operation of the website appear during that period, Demongrafix will correct them as soon as possible and at no cost once the client has notified them by a means that proves receipt. The warranty does not cover the consequences of misuse of the website or of changes made by the client or third parties.
“Changes” means any modification of the project after it has been accepted, whether new requirements, clarifications of existing ones or technical needs. Each change is quoted at Demongrafix’s current rates and may change the delivery times set in the project. Demongrafix will inform the client of both before carrying out the change.
The project is considered completed when:
Deciding not to carry out the remaining stages carries no penalty for the client, who assumes the consequences of that decision.
The client pays the amounts set out in the project, in the manner and at the times stated there and in these terms. Each stage is paid in advance. The price of the project may change if the material provided by the client changes the work required, or if changes are agreed under clause 2.9.
Demongrafix sends invoices to the email address provided by the client, and by post on request. The invoice for each stage is issued within thirty (30) days of payment being confirmed.
For each returned payment attributable to the client, Demongrafix will charge 6 € to cover bank costs. If direct debit payments are returned more than twice in a row, Demongrafix may terminate the contract and take the appropriate steps to protect its interests.
Demongrafix guarantees that the software developed for the website does not infringe the rights of third parties, and will defend at its own cost any claim against the client based on such an infringement.
The website, its preparatory material and its user documentation are protected by copyright. Demongrafix keeps the intellectual property rights in the software it develops and grants the client the right to use the website. The client may not sell, rent or otherwise transfer the software or documentation to third parties, nor modify, redevelop or extract parts of it, except where the law expressly allows it.
Demongrafix keeps the intellectual property rights in the modules, tools, databases and other standard elements it uses across projects, and grants the client a non-exclusive licence to use them as part of the website for as long as the website is in operation.
Content supplied by the client (text, images, logos, trademarks) remains the client’s property. The client guarantees that they hold the rights to use it and releases Demongrafix from any claim relating to it.
Both parties will keep confidential any information received from the other party in the course of the project, and will use it only to perform the contract. This obligation continues after the contract ends.
Each party complies with the GDPR and the Spanish LOPDGDD. How Demongrafix handles the personal data of its clients is explained in the privacy policy.
Where, to provide hosting, maintenance or development services, Demongrafix accesses personal data for which the client is responsible (for example, data collected by the client’s website), Demongrafix acts as a data processor. In that case both parties will sign a data processing agreement in line with article 28 of the GDPR.
If the client is a consumer (a person acting outside their trade or profession), they have the rights granted by Spanish and EU consumer law, which these terms do not limit. In particular, a consumer who contracts at a distance may withdraw from the contract within fourteen (14) calendar days of signing it, without giving reasons, by notifying Demongrafix at info@demongrafix.com. If the consumer expressly asks for work to start within that period, they must pay for the work done up to the moment of withdrawal.
These terms are governed by Spanish law. Any dispute will be heard by the courts of Alicante (Spain), except where the client is a consumer, in which case the courts of the consumer’s place of residence have jurisdiction.
